can you upgrade directly using Vcenter or the host update utility or is there another step for converting from ESX to ESXi?

Unfortunately you can't use update manager to do this upgrade.  You will find more info here.

thanks.  It looks like you need to export all VMs and do a fresh install of ESXi in order to change over.
